Consultation Services Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of all consulting services (“Services”) by R Suresh & Associates (“Consultant” or “We”) to you (“Client” or “You”) and form a binding contract when a booking is made.
1. Acceptance of Terms
By booking a consultation with the Consultant through the Calendly platform, submitting payment, or otherwise engaging with us for Services, you confirm that you have read, understood, and agreed to be bound by these Terms.
2. Description of Services
The Services consist of a paid, one-on-one virtual consultation session focused on [Briefly mention your service area, e.g., legal advice, career coaching, or technical strategy].
- Advisory Nature: The Consultant provides professional advice and recommendations only. The Client acknowledges that the Consultant is not responsible for the implementation of any advice or for the Client’s ultimate business or personal results.
- No Guarantee: The Consultant makes no guarantee of specific outcomes, results, or financial benefits from the Services.
3. Fees, Booking, and Payment

| Payment Processor | Payments are processed securely via Calendly’s integrated third-party payment processor (e.g., Stripe). The Client agrees to comply with the terms of that processor. |
| Taxes | All fees are exclusive of any applicable sales tax, VAT, or other government charges, which shall be the Client’s responsibility. |
4. Cancellation and Rescheduling Policy
The following policy applies to all paid bookings:

| No-Show | Failure to attend the session (joining more than 10 minutes late). | Session is forfeited, and no refund will be issued. The Consultant is not obligated to extend the session time for late arrivals. |
5. Client Responsibilities
- Provide complete and accurate information during the booking and in any pre-session questionnaires.
- Attend the consultation punctually and ensure they have a stable internet connection and necessary technology.
- Provide any required materials (e.g., reports, documents) by 24 hours before the session to allow for preparation.
6. Confidentiality and Intellectual Property (IP)
- Confidentiality: The Consultant agrees to treat all non-public information shared by the Client during the session as confidential, including business plans, trade secrets, and personal information.
- Consultant’s IP: All materials, documents, templates, methodologies, or advice provided by the Consultant remain the sole intellectual property of the Consultant. The Client is granted a non-exclusive, non-transferable license to use these materials solely for the Client’s internal business or personal use.
- Prohibited Use: The Client may not reproduce, distribute, or sell the Consultant’s materials to any third party without express written permission.
7. Limitation of Liability and Disclaimer
- Limitation: The Consultant’s total liability to the Client for any claim arising out of or relating to these Services shall not exceed the total amount of the fee paid by the Client for the specific consultation session giving rise to the claim.
- Disclaimer: The Consultant shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of profits or business) arising from the Client’s use of the advice.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia. You agree that any disputes arising under these Terms will be resolved in the courts of Malaysia.
